Terms of Service

Who you are dealing with

Your subscription is with Tokenomik Pty Ltd, the Australian company that operates Tommy & Spartan ("we", "us", "our"). These terms cover self-serve subscriptions purchased through tommyspartan.com. If you have a question about them, use our support page or write to mike@tokenomik.com.

The agreement

When you create an account or start a subscription, you agree to these terms, together with our Privacy Notice and Refunds & Cancellation policy. If you subscribe on behalf of a company, you confirm you are authorised to bind it, and "you" in these terms means that company.

The service

Your subscription gives you access to the Tommy & Spartan platform: a marketing and strategy team built as software, delivered as an online service. What each plan includes, and its price, is shown on the site at the point of purchase; that description forms part of this agreement for your plan.

Your account

• Give us accurate details when you sign up, and keep them current.
• Keep your login credentials secure. You are responsible for activity under your account, so tell us promptly if you believe someone else has used it.
• The service is for business use by you and your organisation.

Subscriptions and billing

• Billing. Subscriptions are billed in advance for each billing period. Payments are processed by Stripe, our payment provider. Your card details go directly to Stripe and are held by Stripe; we receive confirmation of the charge.
• Renewal. Your subscription renews automatically at the end of each billing period until you cancel.
• Price changes. If we change the price of your plan, we will give you at least 30 days' notice, and the new price applies from your next renewal. If you would rather stop, cancel before the renewal and the change never touches you.
• Tax. Prices show any applicable taxes, such as GST, at checkout.

Cancelling and refunds

You can cancel at any time from your account page. Cancellation takes effect at the end of the current billing period, and your access continues until then. Your first subscription payment carries a 14-day full refund window. The detail is in our Refunds & Cancellation policy.

Acceptable use

Use the service lawfully and for genuine business purposes. In particular, you must not:

• break the law, or use the service or its outputs for misleading, deceptive or unlawful marketing, including spam;
• infringe anyone else's intellectual property, confidentiality or privacy rights in the material you put in;
• attempt to gain unauthorised access to the platform, other customers' data, or the systems behind the service;
• resell, sublicense or white-label the service without a written agreement with us;
• interfere with the operation of the service or place unreasonable load on it.

If your use puts the service or other customers at risk, we may suspend access while we sort it out with you.

Your content and ours

• Yours. You keep ownership of the material you put into the service and the outputs it generates for your business. You give us the licence we need to process that material in order to deliver the service to you.
• Ours. The platform, its software, agents, brand, templates and methods remain the property of Tokenomik Pty Ltd. Your subscription is a licence to use them for the term of your subscription.

Availability and changes

We work to keep the service available and we improve it continuously, so features will evolve. If a change materially reduces what your plan includes, we will give you reasonable notice before it applies. Planned maintenance is scheduled and announced where practicable.

Liability

You may have guarantees under the Australian Consumer Law that cannot be excluded, and nothing in these terms affects them. Where the law lets us limit liability for a breach of such a guarantee, our liability is limited to resupplying the service or paying the cost of having it resupplied.

Beyond that, and to the extent the law permits: our total liability under these terms is capped at the amount you paid us in the twelve months before the event giving rise to the claim, and each party is liable to the other for direct loss only, with indirect and consequential loss, such as loss of profits, excluded.

Termination

You can end the agreement by cancelling, as described above. We may suspend or close an account for a material breach of these terms; where the breach can be put right, we will give you notice and a reasonable opportunity to do so first. When the agreement ends, your access ends, and the clauses that by their nature continue (intellectual property, liability, governing law) survive.

Governing law

These terms are governed by Australian law, and the courts of Australia have jurisdiction over any dispute arising from them.

Changes to these terms

We update these terms from time to time. For a material change we will give you at least 30 days' notice by email or in the product before it applies. The date at the top shows the latest revision.
